TERMS AND CONDITIONS

This Agreement ("Agreement") is made and entered into between:

1. PARTIES

Speaker: Evelina Bereni, ABN: 848 8160, hereinafter referred to as "Speaker."
Client: The company or individual engaging the Speaker’s services, hereinafter referred to as "Client."

Both parties agree to the following terms:

2. SERVICES PROVIDED

  • The Speaker offers engaging and interactive workshops or keynote presentations on the topic and for the duration specified in the proposal delivered to the Client. The content, format, and delivery method of each session will be tailored to the needs of the Client, ensuring a high level of engagement and value for all participants.

  • While delivering the workshop or keynote presentation, the Speaker will maintain a high standard of professionalism, integrity, and responsibility throughout the engagement; Comply with all applicable laws and regulations during the session; Follow the relevant health and safety protocols for the venue to ensure the well-being of all attendees.

  • The Speaker will inform the Client promptly if:

a) They are unable to conduct the workshop or keynote presentation as per the terms of this agreement.

b) A conflict of interest arises concerning the workshop or presentation that may affect the delivery or content.

  • The Client agrees to:

a) Assist the Speaker with any reasonable requests related to the presentation.

b) Provide the Facilitator with access to a suitable venue (if applicable)

c) ensure necessary facilities are available on the scheduled date.

3. FEES & PAYMENT TERMS

  • The Client must pay the Speaker the agreed Fee as outlined in the quotation provided using the payment methods outlined on the tax invoice provided by the Speaker.

    • Deposit: A non-refundable deposit of 50% of the total Fee is due upon signing this Agreement to secure the date. The Deposit must be paid within seven (7) days of the Client accepting the quote.

    • Final Payment: The remaining balance of the Fee will be invoiced in the week of the engagement with the Client and must be paid within seven (7) days.

    • Payments can be made using the payment methods outlined on the tax invoice provided.

4. TRAVEL & EXPENSES

For in-person engagements, the agreed Fee includes local travel costs incurred for the delivery of the engagement. The Client agrees to cover the following additional expenses for interstate travel:

  • Travel: Flexible return airfares for interstate travel

  • Accommodation: Hotels rated 4 stars or higher

The Client is responsible for arranging a suitable venue and covering any associated catering and equipment costs.

5. CANCELLATION & RESCHEDULING

  • By Client:

    • Cancellation 10 days or more before the event: The deposit is non-refundable.

    • Cancellation less than 10 days before the event: the Client must pay 100% of the Fee.

    • Cancellation for any reason will result in any costs incurred by the Speaker such as materials or other expenses to be invoiced in full to the Client.

    • Rescheduling may be permitted at Speaker’s discretion, subject to availability and potential additional fees.

  • By Speaker:

    • If the Speaker must cancel due to unforeseen circumstances, the Speaker will endeavour to provide a replacement or reschedule at no additional cost.

    • In the event that the Speaker cancels the engagement, all payments made will be refunded in full.

6. OWNERSHIP & USE OF MATERIALS

  • The Speaker retains full ownership of all materials, including slides, handouts, and presentation content.

  • The Client may record the event. Recordings shall only be used for internal reference.

  • Any modifications, repurposing, or distribution of the Speaker’s materials require written permission.

  • The Client gives the Speaker consent to reference their professional collaboration, including the use of the Client’s name, logo, and a description of the services delivered, in marketing and promotional materials. The Speaker agrees to present this information accurately and to maintain the confidentiality of any sensitive or proprietary details.

7. LIABILITY & INDEMNIFICATION

  • Speaker is not responsible for the results or actions taken based on the content provided.

  • Client agrees to indemnify Speaker against any claims arising from the use of the Speaker’s materials or services.
